1. The Parties
This Agreement is made on May 1, 2026 between:
Lessor: Saskatchewan Table Tennis Inc. ("TTSASK"), of 510 Cynthia Street, Saskatoon, Saskatchewan; and
Lessee: Sample Table Tennis Club, an affiliated club in good standing with TTSASK, represented by its Director(s): Jane Doe / John Doe, of Anywhere, SK.
The Lessor and Lessee shall each be referred to as a "Party" and collectively as the "Parties."
2. Equipment
The Lessor hereby grants to the Lessee the right to use the equipment listed in Schedule A attached to and forming part of this Agreement (the "Equipment"). Title to the Equipment remains with the Lessor at all times, regardless of any annual rent paid or Paid-Up Status achieved under Clause 4.
Additional equipment may be added to this Agreement from time to time by issuing a revised Schedule A signed by both Parties; each such addition is governed by the terms of this Agreement from the date noted on the schedule.
3. Term
This Agreement commences on the date of signing and continues indefinitely until terminated under Clause 9. The Lessee's right of use is conditional on continuous compliance with Clauses 5, 6, and 7.
4. Annual Rent and Paid-Up Status
The Lessee shall pay an annual rent of $200.00 CAD per table per year, due on or before the anniversary date of each table's addition to Schedule A. Annual rent is per table; total annual rent is the sum of all active (not yet Paid-Up) tables on Schedule A.
Paid-Up Status
After four (4) consecutive years of paid annual rent for a given table, that table reaches Paid-Up Status. Once a table is Paid-Up:
- No further annual rent is owed for that table;
- The Lessee retains the right of continued use under all other terms of this Agreement;
- Title remains with the Lessor; and
- The Lessor's reversion rights under Clause 7 remain in full force.
Annual rent is separate from, and in addition to:
- The annual club affiliation fee of $225.00 payable by the Lessee to maintain affiliated-club status; and
- Any individual TTSASK member fees ($10.00 per individual or as set by TTSASK from time to time).
Funds disbursed to the Lessee through the Membership Assistance Program (MAP) may be applied toward annual rent, subject to MAP eligibility rules and TTSASK's approval as the administering Provincial Sport Organization.
5. Active Operation Requirements
To retain the right of use under this Agreement, the Lessee must satisfy all of the following on a continuing basis:
- Affiliation in good standing — the $225.00 annual club affiliation fee paid to TTSASK by its due date;
- Minimum membership — at least five (5) registered TTSASK individual members associated with the club, each having paid the applicable individual fee;
- Demonstrable activity — the club operates regular table tennis sessions for members during at least six (6) months of each calendar year, attested annually by the Lessee in writing; and
- Equipment access — the Equipment is kept at the registered club location (or another location pre-approved by the Lessor in writing) and is available for use by club members during the club's regular activity hours.
Failure to satisfy any two (2) or more of the above requirements for two (2) consecutive years constitutes grounds for reversion under Clause 7. The Lessor retains discretion to consider extenuating circumstances on a case-by-case basis.
6. Use, Care, and Maintenance
The Lessee shall:
- Use the Equipment exclusively for the sport of table tennis (ping pong) and for club purposes only;
- Not sublease, lend, transfer, or otherwise make the Equipment available to any third party without prior written consent of the Lessor;
- Maintain the Equipment in working order and free of damage, beyond ordinary wear and tear;
- Store the Equipment in a reasonably secure indoor location protected from weather, theft, and unauthorized access; and
- Notify the Lessor in writing within seven (7) days of any damage, loss, theft, or relocation of the Equipment.
7. Reversion and Return of Equipment
The Lessor may, at its sole discretion, require the return of any or all Equipment by issuing written notice to the Lessee in any of the following circumstances:
- The Lessee ceases to operate as an affiliated club, dissolves, or otherwise ceases to exist;
- The Lessee fails to satisfy the Active Operation Requirements under Clause 5;
- The Lessee materially breaches any term of this Agreement and fails to remedy the breach within thirty (30) days of written notice; or
- Equipment funded by a Membership Assistance Program (MAP) grant falls within reversion conditions established by the Lessor as the administering Provincial Sport Organization.
Upon receipt of such notice, the Lessee shall arrange the return of the affected Equipment to the Lessor within sixty (60) days at the Lessee's reasonable cost. The Lessee has no entitlement to refund or rebate of any annual rent previously paid, and reversion applies equally to Equipment that has reached Paid-Up Status.
8. Insurance, Liability, and Loss
The Parties acknowledge that TTSASK maintains a group insurance policy through AON in coordination with Sask Sport that extends certain coverage to affiliated clubs in good standing. The Parties' respective responsibilities for the Equipment are as follows:
- Ordinary wear and tear: borne by the Lessor (no charge to the Lessee).
- Damage from negligence or misuse: the Lessee is responsible for the cost of repair, or replacement at the Lessor's discretion.
- Theft from club premises: the Lessee is responsible for replacement cost.
- Damage during transit (for moves arranged by the Lessee): the Lessee is responsible.
- Catastrophic loss (fire, flood, vandalism, or similar events not caused by the Lessee's negligence): the Lessor will pursue any available claim under the AON group policy; the Lessee shall have no out-of-pocket liability provided reasonable care under Clause 6 has been exercised.
- Personal injury: covered under the AON group liability policy as long as the Lessee is in good standing at the time of the incident.
The Lessee is encouraged to confirm that any venue used by the club carries general liability insurance covering the club's activities, and to obtain such coverage independently if the venue does not provide it.
9. Termination
This Agreement terminates:
- Upon return of all Equipment to the Lessor following reversion under Clause 7;
- Upon mutual written agreement of the Parties; or
- Upon the Lessee's voluntary surrender of all Equipment by written notice and arrangement for return within sixty (60) days.
Termination of this Agreement does not affect the Lessee's separate obligation to pay any outstanding affiliation fees or member fees owed to TTSASK at the time of termination.
10. Records and Audit
The Lessor shall maintain records relating to this Agreement, including all annual rent payments, schedule amendments, and signed counterparts, for a minimum of seven (7) years. The Lessee agrees to provide reasonable cooperation and access to membership records and activity attestations on the Lessor's request, for the purpose of verifying compliance with Clause 5.
11. General
Entire Agreement. This Agreement, together with any signed Schedule A in effect from time to time, constitutes the entire agreement between the Parties concerning the Equipment and supersedes all prior agreements, including the prior Table Lease Agreement and MAP Grant Table Purchase Agreement (if any).
Amendments. Any amendment must be in writing and signed by both Parties.
Governing Law. This Agreement is governed by the laws of the Province of Saskatchewan.
Electronic Signatures. The Parties consent to the execution of this Agreement by typed name, checkbox confirmation, and timestamp, which together with the recorded IP address constitute an enforceable electronic signature under applicable Saskatchewan and Canadian law.
Severability. If any provision of this Agreement is held unenforceable, the remaining provisions remain in full force and effect.
